Climate transition is a governance question, not only a strategy question. Boards need a materiality lens that matches.

For most of the last decade, the climate agenda was framed as a strategy question, an input into growth planning, capital investment, and reputation management. That framing is now insufficient.

Climate is increasingly a governance question. Directors are expected to challenge management on transition planning, portfolio exposure, and disclosure quality with the same rigour they apply to financial control.

Boards that treat transition risk as a communications exercise will find themselves outpaced by investors and regulators. Boards that treat it as a governance discipline will earn a durable licence to operate.
